Starting a Co-operative

Many people recognize the tremendous social and economic value that a co-operative business provides to its member-owners and to the communities in which they exist. However, co-operatives can and often do face similar problems to traditional investor-driven firms, such as concentration, globalization, organizational and technical change, and the changing needs of clients/members. Co-operatives also face unique challenges due to their specific nature as democratically-controlled organizations that provide equitable economic benefits to their members. To be successful, co-operatives must be competitive, while maintaining their special nature as businesses that are user-driven, democratically-owned and managed by their members. To be a successful co-operative, the right tools and information are required.

Why Start a Co-operative?

People generally start a co-operative business for one of three reasons:

  1. There is a specific need, challenge or opportunity in their community that is not being met by another type of business model;
  2. A local or small business is closing and they want to maintain the business and employment opportunities within the community; or
  3. Employees wish to buy out their employer and take over the business - otherwise referred to as business succession.

The Benefits of the Co-operative Model

There are many advantages of adopting the co-operative business model:

  • It supports local economic, business and community development
  • It is a very versatile model that can be applied to any organizational size and business sector
  • Each shareholder has one vote, as opposed to one vote per share 
  • Profits from co-operatives are distributed in a wide variety of ways
  • The very structure of the business model creates continuity, as shareholders and/or members can join and leave at any time
  • Shareholder liability is limited - i.e., they are not responsible for the co-operative's debt and can only lose what they have invested
  • As legally incorporated entities, co-operatives can own things, take mortgages, and enter into contracts

The Disadvantages of the Co-operative Model

Every business model has its disadvantages, and in some cases, the co-operative model may not be the best organizational form to use. Anyone considering starting a co-operative should consider the following:

  • Conduct a feasibility study and explore and research the business opportunity fully before deciding on the co-operative model
  • Know that any organization with a "lay person" board of directors carries a certain risk that requires mitigating
  • Overall lack of public awareness and understanding of the co-operative business model can often hinder a group's ability to attract potential investors

Starting a Co-operative

A co-operative is a distinct form of enterprise that is both a business and an association of people. The success of a new co-operative depends on how well these facets of the enterprise are established at the onset. A co-operative can be more challenging to set up than other types of enterprises, but once established, they tend to thrive in the marketplace and are more stable than other business models.

Incorporating a Co-operative

Incorporation grants your organization legal rights and recognition under the law. This legal status allows a co-operative to purchase assets and take on debt, and generally makes it easier to raise capital. It also limits the liability of individual co-op members in the event of legal or financial difficulty.

While a group can operate as a co-operative on an informal basis, it cannot use the word ‘co-op' or ‘co-operative' in its name, or be recognized under the law, unless it is formally incorporated.

A co-operative is incorporated either provincially or federally, and in turn is governed by either a provincial/territorial Co-operatives Act, or the Canada Co-operatives Act. The difference relates mainly to where the co-operative will operate: a federally incorporated co-op will carry out operations in at least two provinces/territories, and have fixed offices in more than one province or territory. Ontario co-operatives are regulated by the Ontario Co-operative Corporations Act, with the exception of credit unions and caisses populaires, which are regulated under the Credit Unions and Caisses Populaires Act. Service Ontario, under the Ministry of Government and Consumer Services, now administers the Act and registers organizations conducting business as a co-operative under the Act. Many co-operatives are regulated under additional pieces of legislation. For example, Daycare co-operatives are also regulated under the Day Nurseries Act
